These Terms of Service ("Terms") are a legal agreement between you ("you," "Client") and Ulo Cloud LLC ("Ulo," "we," "us") governing your use of ulo.gg, the cloud.ulo.gg client panel, and the bare-metal KVM virtual private server ("VPS") hosting services we provide (collectively, the "Service"). These Terms incorporate by reference our Acceptable Use Policy ("AUP") and our Privacy Policy, both of which form part of this agreement.

1. Acceptance of these Terms

By creating an account, checking the checkbox presented at checkout, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, the AUP, and the Privacy Policy. If you do not agree, do not create an account or use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.

2. The Service

Ulo provides self-service, bare-metal KVM virtual server hosting. Deployment, configuration, and ongoing operation of your VPS are handled through the cloud.ulo.gg client panel, which gives you direct control over starting, stopping, and restarting your server; a browser-based console; operating system (re)installation, including custom ISO uploads; firewall rules; and, where purchased, automated backups and additional IP addresses.

Network-level DDoS mitigation is included on every plan as described on our pricing page. This protects inbound traffic to your server from third-party attacks; it does not change your own responsibilities under Section 3 or the AUP for how your server is configured or what it is used to do.

3. Root access & unmanaged service

The Service is provided on an unmanaged basis. From the moment your VPS is deployed, you are given root (administrator) access to it. Ulo does not install, configure, patch, monitor, secure, or otherwise manage the operating system, applications, or any software you run on your VPS, except where we expressly agree to do so in writing.

You are solely responsible for:

  • choosing, installing, and configuring your operating system and any software, including applying security patches and updates;
  • securing your server, including account credentials, SSH keys, firewall rules, and any exposed network services;
  • the content, legality, and behavior of anything you install, run, or store on your VPS; and
  • any consequences of a compromise, misconfiguration, data loss, or outage that originates from your own operating system or software, rather than from Ulo's underlying hardware or network.
In short: if you leave a port open, run outdated or vulnerable software, or otherwise get your own server compromised, that is your responsibility, not Ulo's — we do not monitor what runs inside your VPS and cannot be held liable for the consequences of how you operate it.

4. Your account

You must provide accurate information when creating your account and keep your login credentials confidential. You are responsible for all activity that occurs under your account, including activity carried out by anyone you allow to access it. Notify us promptly at [email protected] if you believe your account has been compromised.

5. Acceptable use

Your use of the Service, and anything you run on your VPS, must comply with our Acceptable Use Policy, which is incorporated into these Terms. The AUP covers, among other things, resource-abuse limits (including cryptocurrency mining), Tor exit nodes, network scanning and stress-testing tools, and an absolute prohibition on using the Service to attack or disrupt others. A violation of the AUP is a violation of these Terms and may result in immediate suspension or termination as described in Section 12.

6. Billing, plans & cancellation

Plans are billed monthly in advance through our payment processor, Stripe. There are no long-term contracts — you may cancel at any time from your billing page in the client panel, effective at the end of your current billing period, and you will not be charged for the following month. We do not provide pro-rated refunds for partial billing periods unless required by law or stated otherwise at the time of purchase.

Add-ons (such as the automated backups add-on or additional IP addresses) are billed alongside your plan and can be enabled or disabled from the client panel at any time; changes take effect on your next billing cycle unless stated otherwise.

We may change plan pricing on a going-forward basis. Where practical, we will give notice before a price change takes effect on your account.

7. Non-payment, suspension & data deletion

Because every active VPS occupies real, physical disk capacity on our hardware, unpaid invoices are handled on the following timeline:

  • Due date passes, invoice unpaid: your VPS is suspended (powered off and inaccessible) until payment is made.
  • 7 days after suspension, still unpaid: your VPS, including all data stored on it and any associated backups, is permanently and irrecoverably destroyed to free the underlying hardware capacity for other customers.

We may, at our discretion, send reminder notices before either step, but are not obligated to do so beyond what is required by law. Once data is destroyed under this section, it cannot be recovered by Ulo under any circumstances, including upon later payment.

8. Backups & data loss

Ulo offers an optional automated backups add-on (daily snapshots with a 7-day rolling retention window, restorable from the client panel). Even where you subscribe to this add-on, backups are provided strictly as a best-effort convenience, not a guarantee. Hardware failure, storage corruption, software bugs, or operational error can still cause a backup to be incomplete, corrupted, or unavailable when you need it.

You are solely responsible for maintaining your own independent, off-site copies of any data, code, or configuration you cannot afford to lose, regardless of whether you subscribe to our backups add-on. Ulo is not liable for any data loss, including data covered by a subscribed backup, except to the extent such liability cannot be excluded by law.

9. Service availability

We work to keep the Service, the client panel, and the underlying network available, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, hardware failure, network issues, or circumstances outside our reasonable control (including upstream provider outages) may result in downtime. Except where expressly stated in a separate written service-level agreement, the Service is provided without any uptime guarantee or service credit.

10. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that any data will be preserved without loss.

11. Limitation of liability

To the maximum extent permitted by law, Ulo and its owners, operators, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, revenue, or business, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ulo and its owners, operators, and personnel from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) content, software, or activity on your VPS; (c) your violation of these Terms or the AUP; or (d) your violation of any law or the rights of any third party.

13. Termination

We may suspend or terminate your access to the Service immediately and without notice if we reasonably believe you have violated these Terms or the AUP, used the Service to harm others or our infrastructure, or where required to do so by law or a competent authority. Sections of these Terms that by their nature should survive termination (including billing obligations already incurred, limitation of liability, and indemnification) will survive.

You may terminate your account at any time as described in Section 6.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new "Last updated" date, and where practical, provide additional notice (such as by email). Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Indiana, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Indiana.
